Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Ledger AI, a sole proprietorship operating under the registered name "Ledger AI" ("Ledger AI", "we", "us", or "our"), governing your access to and use of the Ledger AI website, applications, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Ledger AI lets you upload financial statements and uses automated systems, including artificial intelligence, to extract, categorize, and summarize transactions, and to answer questions about your data. The Service is provided for personal, informational, and organizational purposes only.

Nothing in the Service constitutes financial, investment, tax, legal, accounting, or other professional advice. Outputs generated by Ledger AI — including categories, summaries, insights, charts, and Copilot responses — are informational only and may be incomplete or incorrect. You should independently verify any figures and consult a qualified, licensed professional before making financial decisions.

The Service relies on AI models and automated parsing. Categorization, transaction extraction, merchant identification, totals, projections, and Copilot answers may contain errors, omissions, or hallucinations. We make no representation or warranty that any output is accurate, complete, current, or fit for any particular purpose. You are responsible for reviewing and validating all results before relying on them.

You are solely responsible for the financial, tax, and other decisions you make, including any actions taken based on information shown in the Service. You are responsible for the accuracy of files and information you upload, for keeping your account credentials secure, and for activity that occurs under your account.

You agree not to:

• Use the Service in violation of any law, regulation, or third-party right.
• Upload content you do not have the right to upload, or content that contains another person's financial data without their permission.
• Attempt to reverse engineer, decompile, or extract the source code, models, or training data of the Service.
• Probe, scan, or test the vulnerability of the Service, or bypass authentication, rate limits, or usage controls.
• Use the Service to build a competing product, to scrape data at scale, or to send unsolicited or automated traffic.
• Upload malware, attempt to overload the Service, or interfere with other users.
• Use the Service to provide regulated financial advice to third parties.

We may suspend or terminate accounts that violate these rules, with or without notice.

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. You agree to provide accurate information when registering and to keep it up to date. You are responsible for safeguarding your password.

Paid plans renew on a recurring basis until cancelled. Pricing, features, and limits are described on our pricing page and may change with notice. You may cancel at any time from your billing settings, and you will retain access through the end of your current billing period.

Subscription fees are billed in advance and are subject to our Refund Policy, including the 30-day money-back guarantee on your first paid purchase. Except as set out in the Refund Policy or as required by law, fees for completed billing periods are not refundable.

Ledger AI is the seller for all subscriptions. Card payments are processed on our behalf by Stripe, Inc. ("Stripe"). When you subscribe, you provide payment information directly to Stripe; Ledger AI does not receive or store your full card details. Your use of Stripe's checkout is also subject to Stripe's own terms and privacy policy, available at stripe.com/legal/consumer.

The Service, including its software, design, branding, and content we create, is owned by Ledger AI and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal use in accordance with these Terms. You retain ownership of the content you upload.

You grant us the rights necessary to host, process, and display your uploaded content for the purpose of operating the Service. Our handling of personal data is described in our Privacy Policy. You can permanently delete your data from the Service at any time from Settings.

The Service uses third-party providers (for example, payment processors and AI model providers). We are not responsible for the availability, accuracy, or practices of third-party services, and their use is subject to their own terms.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY OUTPUT WILL BE ACCURATE OR RELIABLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEDGER AI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, SAVINGS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

You agree to indemnify and hold harmless Ledger AI from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, or your violation of these Terms or applicable law.

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service. Sections that by their nature should survive termination (including disclaimers, limitation of liability, and indemnification) will survive.

We may update the Service and these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by updating the effective date or notifying you in-app). Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the Province of Ontario, Canada and the federal laws of Canada applicable therein, without regard to conflict of laws rules. You agree to the exclusive jurisdiction of the courts located in Ontario for any dispute that is not required to be resolved through other means.
